Terms of Service

1 Acceptance of Terms

By accessing, registering for, or using the Scholary Labs School Management System platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a school, organization, or legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Service.

2 Service Description

Scholary Labs is a subscription-based, cloud-hosted, multi-tenant Software-as-a-Service (SaaS) platform for educational institutions. The Service provides:

• Multi-school account management with complete data isolation between institutions
• Student admission, enrollment, and academic records management
• Academic structure configuration (classes, sections/terms, academic sessions, subjects)
• Result entry and report card generation (PDF)
• Student behaviour assessment
• Assignment creation and management
• Staff management (school administrators, teachers, bursars/accountants)
• School gallery management (photo uploads)
• Finance record tracking (income and expense) with PDF statement generation
• Student ID card generation (PDF)
• Subscription management and renewal via Paystack payment gateway
• In-app notification system

We reserve the right to modify, add, or remove features with reasonable notice to active subscribers.

3 User Accounts and Roles

To access the Service, you must register an account with accurate information. You are responsible for maintaining the confidentiality of your credentials and all activities under your account.

The Service supports the following user roles, each with specific access rights:

• User (Onboarding): New registrants in the school setup process
• School Admin: Full management of a single school's operations
• Teacher: Class and subject management within assigned class
• Student: View-only access to personal academic records
• Accountant/Bursar: Access to finance management

Account creators must be 18 years or older. Student accounts for minors may be created and managed by authorized school administrators.

4 Subscriptions & Billing

Access to the Service requires a paid subscription. By subscribing, you agree to the following:

• Subscription Period: All subscription plans are for a fixed period of 100 days from the date of activation.
• Grace Period: A 7-day grace period is provided after the subscription expiry date, during which the Service remains accessible. After the grace period, access is suspended until renewal.
• Payment: All payments are processed through Paystack, our integrated payment provider. Payment is due at the time of subscription initiation or renewal.
• Currency: All prices are in Nigerian Naira (NGN).
• Plans: Nine pricing tiers are available, from Starter School to Enterprise School. Plan details are available on our pricing page.
• Renewal: Subscriptions do not auto-renew. You must initiate renewal through your admin dashboard. You may select a different plan at renewal, subject to your current student count not exceeding the new plan's maximum.
• Refund Policy: Subscription fees are non-refundable except where required by applicable.
• Failed Payment: If payment fails or is disputed, your subscription will not activate or renew. Access will be suspended after the grace period.

5 Acceptable Use Policy

You agree to use the Service only for lawful educational administration purposes. You must NOT:

• Use the Service for any purpose other than legitimate school management
• Attempt to access another school's data or any data you are not authorized to view
• Upload malicious code, viruses, or harmful content
• Reverse engineer or decompile any part of the Service
• Share or sell your account credentials
• Use automated tools to scrape or stress-test the Service without authorization
• Upload content that violates any applicable law, including content involving child exploitation or privacy violations
• Use automated systems (bots or scripts) to access the Service without authorization
• Violate any applicable local, state, national, or international law or regulation

We reserve the right to suspend or terminate accounts for violations without prior notice.

6 Data & Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information and school data.

Key data principles:

• Data Ownership: You retain full ownership of all data you upload, create, or manage through the Service. Scholary-Labs does not claim ownership of your content.
• Data Isolation: Each school's data is logically isolated within our multi-tenant architecture. No school can access another school's data.
• Data Retention: On account termination, data retention and deletion practices are described in the Privacy Policy

7 Intellectual Property

The Service, its code, design, features, logos, and documentation are owned by Scholary Labs LTD. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, sublicense, or redistribute any part of the Service.

Your subscription grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purpose. This license does not include the right to:

• Copy, modify, or create derivative works based on the Service
• Use our trademarks, logos, or brand assets without prior written consent
• Sublicense, sell, or redistribute access to the Service
• Remove or alter any proprietary notices or labels on the Service

8 Termination

Either party may terminate this agreement at any time:

• By You: You may stop using the Service at any time. Subscription fees are not refunded for unused days.
• By Scholary-Labs: We may suspend or terminate your account for breach of these Terms, fraudulent activity, non-payment, or if required by law. We will provide reasonable notice except in cases of serious violation.

Upon termination, your access ceases. Data retention after termination is subject to our Privacy Policy.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Scholary Labs shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, loss of business, or service interruption. Our total liability for any claim shall not exceed the subscription fees paid by you in the 12 months preceding the claim.

10 Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant uninterrupted or error-free operation.

11 Indemnification

You agree to indemnify, defend, and hold harmless Scholary-Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or data you upload, submit, or transmit through the Service

12 Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify school admins via email or in-app notification at least 7 days before the changes take effect
• Post the revised Terms on our website

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you should discontinue use of the Service before the changes take effect.

13 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the use of the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to binding arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.
